The Team You'll Work With • You'll be joining our Carta Law team, specifically within the Contracts - APAC function. Our Contracts team manages the full lifecycle of commercial contracts for clients – from first review through to execution. You'll be the direct day-to-day contact for sophisticated investment fund and asset manager clients, working alongside fellow lawyers and paralegals. This team delivers high volumes of pre-M&A contract work at speed, supported by AI- backed tools including Carta's proprietary platform, Ava. As a Freelance Consultant on the Contracts team, you'll work to: • Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times • Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers • Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations • Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture • Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools • About You About You • Commercially minded and client-focused. You communicate legal advice crisply and concisely, building strong relationships with sophisticated financial services clients. • Experienced in transactional law. 6-8+ PQE, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters). • Familiar with financial services. You have experience working with asset managers, investment banks, or other financial services firms and understand their expectations. • Law Degree and licensed to practice. You are licensed to practice law in any APAC Jurisdiction • Must be based in APAC time zone, due to our client service needs • Tech-savvy and adaptable. You are comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ), and an interest in legal tech or AI is a strong plus. • A self-starter who owns their work. You thrive in a fast-paced environment, prioritize effectively, and are always looking for ways to improve and innovate.
